These Terms & Conditions apply when you engage Sidenote Copy for copywriting or digital content services. By accessing this website or engaging in a project, you agree to these terms.
1. Services
Sidenote Copy offers copywriting and brand messaging services to clients worldwide. This includes, but is not limited to:
Website copy
Email and content strategy
Brand voice development
One-off and retainer-based projects
A digital download (lead magnet) may be offered in the future.
2. Fees and Payment
2.1 Deposit
A non-refundable deposit of 50% of the total project fee is required to secure your booking. Work will not begin until the deposit has been received.
2.2 Final Balance
The remaining 50% is due within 5 business days of project completion, upon receipt of final invoice. All payments must be made by direct deposit. Any bank or transfer fees are the client’s responsibility.
2.3 Late Payments
If final payment is not made within 10 days, interest will be charged at 2% per month or the maximum amount permitted by law (whichever is lower).
If the payment is overdue by 30 days, Sidenote Copy reserves the right to suspend all current and future work and may pursue legal action or engage a collections agency at your expense.
3. Intellectual Property and Usage
3.1 Ownership
Ownership of final copy transfers to the client only after full payment is received. Until then, all rights remain with Sidenote Copy.
3.2 Portfolio Use
Sidenote Copy reserves the right to use excerpts of work (maximum 5%) in promotional materials, case studies, or portfolio, unless otherwise agreed in writing.
3.3 Usage Restrictions
The client may not resell, redistribute, or commercially exploit the work outside its intended use without written permission. Any unauthorised use may result in legal action.
3.4 Third-Party Content
If any licensed, AI-generated, or third-party content is used, it remains subject to its respective licensing terms. Sidenote Copy is not liable for third-party claims resulting from such content.
3.5 Attribution and Modification
Clients may not claim authorship or significantly modify the work without written permission. Any re-use, adaptation, or repurposing of the work must be approved in writing.
4. Revisions and Communication
One round of revisions is included within 14 days of delivery unless otherwise stated in your proposal. Additional rounds or major scope changes may incur extra charges.
Clients are expected to respond in a timely manner and provide clear, complete feedback. Delays in communication may impact project timelines.
5. Governing Law and Jurisdiction
These Terms & Conditions are governed by and construed in accordance with the laws of New South Wales, Australia.
Any disputes will be handled exclusively in the courts of New South Wales.
